Terms of Service

By accessing or using the AIMPACT platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services. We recommend that you read these Terms carefully before using the platform.

AIMPACT provides AI-powered tools and services designed to help businesses with strategic planning, analysis, and decision-making. Our Services include, but are not limited to:

• AI Mentor: Personalized AI coaching and strategic guidance for founders
• Decks AI: AI-assisted pitch deck creation and refinement
• Financial Model: Automated financial modeling and scenario analysis
• AI Due Diligence: Comprehensive AI-powered business assessment

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Services.

Registration

To access certain features of the Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your AIMPACT account
• Enable two-factor authentication when available
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with any third party

Account Termination

We reserve the right to suspend or terminate your account if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the platform or other users. You may also delete your account at any time through your account settings.

The Services, including all software, algorithms, designs, text, graphics, logos, and other materials, are the intellectual property of AIMPACT or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to:

• Modify, copy, or create derivative works based on the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove or alter any proprietary notices or labels
• Use the Services to build a competing product or service
• Sublicense, resell, or redistribute the Services to third parties

License Grant

By submitting content to the Services ("User Content"), including but not limited to business data, documents, and inputs for AI analysis, you grant AIMPACT a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content solely for the purpose of providing and improving the Services.

You retain all ownership rights in your User Content. We will not use your User Content for purposes unrelated to providing the Services without your explicit consent.

Content Restrictions

You agree not to submit content that:

• Violates any applicable law, regulation, or third-party rights
• Contains malicious code, viruses, or harmful components
• Is fraudulent, deceptive, or misleading
• Infringes upon intellectual property rights of others
• Contains sensitive personal data of third parties without proper authorization

Pricing

Certain features of the Services require a paid subscription. Pricing information is available on our website and may be updated from time to time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is due at the start of each billing period. All fees are quoted and payable in US Dollars (USD) unless otherwise specified.

Refunds

Annual subscriptions are eligible for a full refund within 14 days of purchase if you are not satisfied with the Services. Monthly subscriptions may be cancelled at any time, but refunds are not provided for partial billing periods. To request a refund, contact our support team at support@aimpact.com.

To the maximum extent permitted by applicable law, AIMPACT and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute services
• Business interruption or loss of goodwill
• Any damages arising from reliance on AI-generated analyses or recommendations

Our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to AIMPACT in the twelve (12) months preceding the claim.

The AI-generated content and recommendations provided through our Services are intended to assist with decision-making and should not be treated as professional legal, financial, or investment advice. You are solely responsible for decisions made based on information obtained through the Services.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, AIMPACT disclaims all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of AI-generated content
• Warranties that the Services will meet your specific requirements or expectations

AI-generated outputs are probabilistic in nature and may contain errors or inaccuracies. You acknowledge that such outputs should be reviewed and validated before reliance.

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of the commencement of the arbitration.

The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. The number of arbitrators shall be one, unless the parties agree otherwise.

Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from the courts of Hong Kong for the protection of intellectual property rights or confidential information.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Provide notice through the Services or via email to your registered email address
• Give you at least 30 days to review the changes before they take effect

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and may close your account.
